1. Description of Services

LexBrief is an AI-powered contract audit platform designed to assist legal professionals by embedding automated workflows directly into Microsoft Word. The Services provide risk alerts, suggested redlines, and comments based on user-configured playbooks.

Not Legal Advice: LexBrief is an AI assistant, not a law firm. The output provided by the Services is for informational and workflow efficiency purposes only. It does not constitute legal advice. You are solely responsible for reviewing, verifying, and approving any changes, revisions, or comments suggested by LexBrief before finalizing any legal document.

2. Artificial Intelligence and Output Accuracy

LexBrief utilizes advanced Artificial Intelligence (including Anthropic Claude models) to process documents. By using the Services, you acknowledge that:

  • Hallucination Risk: AI models may occasionally generate inaccurate, incorrect, or fabricated information ("hallucinations").
  • Human Oversight Required: You must independently verify all AI-generated suggestions, quotes, and revisions. The LexBrief UI requires human confirmation before any revision is applied to your document. We disclaim all liability for any errors, omissions, or formatting losses (e.g., bold/italic text) introduced by the Services.

3. Account Registration and Microsoft SSO

To access the Services, you must register for an account using Microsoft 365 Single Sign-On (SSO) or other supported authentication methods. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Usage-Based Pricing and Billing

LexBrief may offer subscription plans or usage-based pricing models based on metrics such as time saved, document volume, or API calls.

  • By providing a payment method, you authorize us (or our third-party payment processor, e.g., Stripe) to charge you for all applicable fees.
  • All fees are non-refundable unless otherwise required by law.

5. Data Privacy and Zero-Retention Strategy

We understand the strict confidentiality and legal hold obligations of legal professionals. Our data practices are governed by our Privacy Policy.

  • Zero-Retention: LexBrief's databases do not store the original text of your contracts. We only store metadata (e.g., risk counts, metadata IDs) and your configured Playbooks.
  • Third-Party AI Processors: We utilize third-party AI providers (e.g., Anthropic) under strict "Zero-Data Retention" enterprise agreements, ensuring your document data is not used to train their models and is discarded after processing.

6. Intellectual Property

LexBrief retains all right, title, and interest in and to the Services, including all underlying software, algorithms, UI/UX designs, and Playbook Studio frameworks. You retain all ownership rights to your documents and the specific Playbook rules you create using the Services.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXBRIEF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY ERRORS OR OMISSIONS IN AI-GENERATED OUTPUT; OR (C) UNAUTHORIZED ACCESS TO YOUR DATA.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or through the Services. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
